This course is an introduction to business and corporate law and its multi-jurisdictional components within the US legal system. Broadly, this course explores the organization, relationships, and operation of business entities. Topics covered include types of business entities, liability, ethics, agency, fiduciary duties across levels of management and oversight, corporate/business privileges and powers, ownership structures, shareholder rights, and derivative actions. Students learn to identify legal issues related to business and corporate law including establishing, operating, and terminating business entities; identifying and evaluating legal obligations of business actors, such as agents, partners, officers, and directors; and understanding terms of articles of incorporation, business-related bylaws, agreements, and organizational practices.
